Creator & Brand Agreement
Effective 2026-05-23. This Agreement supplements our Terms of Service and is binding the moment a Creator joins a campaign published by a Business.
1. Scope
For each campaign, the Business making the offer and each Creator joining it enter a per-campaign agreement on the terms below. Openwild is not party to that agreement; we provide the platform, hold the prize pool in escrow, and arbitrate disputes per these rules.
2. The deal
- The Business commits the prize pool (sum of all rank amounts) to Openwild's escrow at the moment the campaign is published for review.
- Each Creator who joins must publish original video content that follows the campaign brief and includes the unique tracking hashtag we issue them.
- Creators who hit the campaign target view count claim equal payouts from the campaign budget, in reach order, until all winner slots are filled. Unused escrow refunds to the Business when the campaign closes (open claim slots may remain funded through review).
- The Business pays via Openwild. Creators receive payouts via Stripe Connect Express: once the claim is approved, Openwild initiates a transfer to the Creator's Stripe-managed connected account, and Stripe pays the Creator's bank directly.
3. Submission day & freshness
Submitted videos must be published on the same calendar day (UTC) as the submission. This stops creators from joining a campaign with old content that already has views. Videos older than that are auto-rejected at submit time.
4. Tracking hashtag
- The hashtag must appear in the video's description or caption.
- We re-check every cron tick. If the hashtag is removed, the submission stops accumulating metrics until the hashtag is restored. Putting it back also forgives one miss strike.
- If a campaign ends with the hashtag never verified, the Creator receives a strike. Three strikes triggers an automatic account suspension.
5. Content guidelines
- The Creator must own all rights to the submitted content.
- The content must comply with the host platform's terms (YouTube, TikTok, etc.).
- The content must follow the campaign brief — required mentions, hashtags, on-screen assets, forbidden elements.
- No paid views, bots, click farms, or other artificial inflation of metrics.
- After a reward is paid, the Creator must keep the submission publicly accessible on the social network for ninety (90) days. Openwild re-checks finished-campaign videos daily until campaign end + 90 days; early removal triggers an automatic strike and notifies the Brand and admins.
6. Business duties
- Provide a clear brief, target view count, and reward amount per rank.
- Provide accurate brand assets and disclosure rules.
- Review claims promptly. Disputes must be filed with a specific reason; bad-faith disputes will cost the Business future credibility on the platform.
- Keep the wallet funded until the campaign closes; funds held in escrow cannot be spent on other campaigns.
7. Cancellations & refunds
- After approval: the campaign stays off Discover for 15 minutes so the Business can edit or delete before creators see it. An edit in that window returns the campaign to admin review; the 15-minute window starts again on the next approval. The Business can force-deploy to Discover immediately, which ends remaining staging edit rights.
- Within 15 minutes of approval: Business can cancel if nobody has joined — full refund, no fee.
- After 15 minutes, if nobody has joined: Business can still cancel — full refund of the prize pool, no cancellation fee.
- Once a Creator has joined: the campaign cannot be cancelled. Unused budget is refunded automatically when the campaign ends.
- No winner by end date: automatic refund of the full pool to the Business.
- Admin rejection at moderation: full refund.
8. Disputes
When a Creator's submission hits the target, a PENDING claim opens. The Business can:
- Accept — Admin then rubber-stamps the payout.
- Disputewith a written reason — Admin arbitrates. If Admin sides with the Business, the pool is refunded; if Admin sides with the Creator, the Creator is paid. Either way it's final on-platform.
9. Taxes
Each party is responsible for their own tax obligations. Creators receiving payouts are responsible for declaring the income to their tax authority. Businesses are responsible for invoicing their own internal accounting; Openwild provides a downloadable transaction statement on request.
10. Confidentiality
Campaign briefs, prize pool sizes, and unreleased assets shared by the Business are confidential. Creators must not disclose them publicly before the campaign goes live and must not share brand assets outside the campaign context.
11. Termination by either side
A Creator may leave a campaign before submitting; their slot is freed and the prize pool remains intact. After submission they cannot withdraw — the campaign carries on.
A Business may cancel under the rules in section 7. They cannot cancel selectively for specific Creators; cancellation closes the campaign for everyone.
12. Liability
Openwild's liability per Terms of Service §12 applies. The Business and Creator deal directly on content rights; Openwild is not the publisher and is not liable for content that breaches third-party rights.
13. Governing law
Republic of Türkiye, İstanbul Çağlayan courts of jurisdiction.
